As used in these Terms of Service, “eParisExtra” means EParisExtra.com, Paris Flash, 413 Media Corp., as well as any and all parent entities, subsidiaries and affiliates of 413 Media Corp.
1. Your agreement with eParisExtra.com

You are solely responsible for Member Content that you submit, and eParisExtra acts as a passive conduit for your online distribution and publication of Member Content. Member Content must conform to the guidelines below. Without limiting any of its rights in law and equity, eParisExtra reserves the right to remove any Member Content for any reason in its sole discretion including any Member Content that it believes may violate these Terms of Service, or any copyright or third-party rights.

5.4.1. License Grant for Content Feeds
eParisExtra offers or may offer content feeds, consisting of a selection of headlines, summaries, text blurbs, and links to full stories, which are delivered using Really Simple Syndication (“RSS”) technology, other XML (extensible Markup Language) technology, or other syndication technology (“Content Feed(s)”). Subject to these Terms of Service, and to the extent that eParisExtra elects to offer Content Feeds(s), eParisExtra grants you a revocable, nontransferable, non-sub licensable, royalty-free, nonexclusive license to display the Content Feeds on your personal Web site or blog (“Site”). For purposes of these Terms of Service, “Content Feed(s)” includes the Content included therein, or any portion thereof. The foregoing license expressly excludes content from eParisExtra not included in the Content Feed(s); by way of example only, if the Content Feed(s) include only the headline and first paragraph of a story on eParisExtra.com, the foregoing license does not give you the right to display the entire story on your Site.
5.4.2. Reservation of Rights Except as expressly set forth in Section 5.4.1, and/or unless otherwise consented to in writing by eParisExtra, you may not, directly or indirectly: (a) sell, modify, translate, copy, publish, transmit, distribute or otherwise disseminate the Content Feed(s); (b) delete or fail to display any promotional taglines included in the Content Feed(s); or (c) rent, lease, or otherwise transfer rights to any Content Feeds.
5.4.3. Further Restrictions; No Modification.
Unless otherwise consented to in writing by eParisExtra.com, you will: (a) display the Content Feed on your Site in the exact form received by you, and not modify or edit it; (b) ensure that the fundamental meaning of the Content Feed is not changed or distorted; (c) comply with all applicable laws and all limitations and restrictions (if any) placed by eParisExtra.com on the use, display or distribution of any Content Feed. You will not (s) archive any Content Feeds for access by users at any future date after the Content Feed has been removed from your Site; (t) display the name, logo, trademark or other identifier of another person on your Site in such a manner as to give the viewer the impression that such other person is a publisher or distributor of eParisExtra.com; (u) remove, conceal or obliterate any copyright or other proprietary notice or any credit-line, date-line or other mark or source identifier included on the Content Feed(s), including without limitation, the size, color, location or style of eParisExtra.com’s marks; (v) make any representation or warranty on behalf of eParisExtra.com; (w) incorporate any Content Feeds on any site containing nudity or pornographic material, that displays material that exploits children under the age of 18, that promotes or provides instructional information about illegal activities or physical harm or injury against any group or individual, or that uses the eParisExtra.com in any manner that is obscene, defamatory, libelous, invasive of personal privacy or misleading; (x) display the Content Feed in a manner that does not allow for successful linking and redirection to, and delivery of, eParisExtra.com’s page; (y) frame any eParisExtra.com page; or (z) fail to stipulate that the Content Feed is supplied by eParisExtra.com and is protected by copyright and owned by eParisExtra.
5.4.4. Warranty If you use the Content Feed services, you warrant that your Site does not infringe the intellectual property of any third parties. You further warrant that your Site violates no applicable law.

We may terminate these Terms of Service, your account, or your access to eParisExtra.com at any time with or without notice to you. You may terminate these Terms of Service or your account by: (a) discontinuing your use of eParisExtra.com and (b) destroying and removing all copies of Content from your Site (if any) and that is otherwise in your possession and control.
This agreement between eParisExtra.com and its users will be governed and interpreted under the laws of the state of Texas. Courts located in Collin County, Texas have jurisdiction in any dispute arising from these Terms of Service. In the event that any provision of these Terms of Service is found to be in conflict with the law, such provision shall be restated to reflect the original intent, and all other terms and conditions shall remain in full force and effect.
10.3. Dispute Resolution and Arbitration
You and eParisExtra agree to the following dispute resolution process for any legal controversy or legal claim arising out of or relating to these Terms of Service, eParisExtra.com, any subscription to eParisExtra.com or any other aspect of our relationship (“Subject Legal Claim”).
In an attempt to find the quickest and most efficient resolution of our issues, you and eParisExtra agree to first discuss any issue informally for at least 30 days. To do that, please send your full name and contact information, your concern and your proposed solution by mail to us at: eParisExtra, 2248 Lamar Ave., PMB #720, Paris, TX, 75460. Attn: Unresolved Customer Issue. If we should need to discuss an issue with you, we will contact you using the email or mailing address provided.
If we do not reach an agreed upon solution after our discussions for at least 30 days, you and eParisExtra agree that any Subject Legal Claim that either of us may have must be resolved through binding individual arbitration before the American Arbitration Association using its Consumer Arbitration Rules. There are two limited exceptions to this Dispute Resolution and Arbitration provision: (i) either party may pursue in small claims court any action that is within that court’s jurisdiction, as long as the case proceeds on an individual basis only; (ii) either party may seek to enforce its patents, trademarks, copyrights or trade secrets in an appropriate state or federal court.
To help resolve any issues between us promptly and directly, you and eParisExtra agree to begin any arbitration within one year after a Subject Legal Claim arises; otherwise, the Subject Legal Claim is waived. You and eParisExtra also agree to arbitrate in each of our individual capacities only, not as a representative or member of a class, and each of us expressly waives any right to file a class action or seek relief on a class basis. All arbitration hearings will be held in McKinney, Texas. The parties agree that this Dispute Resolution and Arbitration provision is subject to, and will be governed and enforced under, the Federal Arbitration Act.
You may download a form Notice to initiate arbitration at www.adr.org. If you initiate the arbitration, your arbitration fees will be limited to the filing fee set forth in the AAA’s Consumer Rules. It is important that you understand that the arbitrator’s decision will be binding and may be entered as a judgment in any court of competent jurisdiction.
If any provision of these Terms of Service shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms of Service and shall not affect the validity and enforceability of any remaining provisions.
10.5. Complete Agreement
These Terms of Service represents the complete agreement concerning the subject matter hereof between the parties and supersedes all prior and contemporaneous agreements and understandings between them, whether written or oral.
10.6. Force Majeure
Neither party will be liable for any failure to perform any obligation (other than payment obligations) hereunder, or from any delay in the performance thereof, due to causes beyond its control, including industrial disputes of whatever nature, acts of God, public enemy, acts of government, failure of telecommunications, fire or other casualty.
10.7. Void Where Prohibited by Law
These Terms of Service are void where prohibited by law, and the right to access eParisExtra.com is revoked in such jurisdictions.
10.8. Independent Contractors
The parties hereto are independent contractors, and these Terms of Service creates no partnership, joint venture, agency, franchise, sales representative or employment relationship between the parties. You have no authority to make or accept any offers or representations on our behalf and you shall not make any statement, on your Site (if any) or otherwise, that conflicts with these Terms of Service.

WHAT INFORMATION DO WE COLLECT?
Information that you provide to us: We and our service providers collect information that you provide when you use our services. Location Information – Our mobile applications may collect precise information about the location of your mobile device via your device’s GPS or cellular connectivity, but only with your express consent. Once you have consented to the collection of such precise location information via your mobile device, you may adjust this consent by managing your Location Services preferences through the settings of your mobile device. We may also be able to infer your location from other information that you provide or information that we collect passively, such as the known locations of nearby WiFi networks.

When we share information with third parties for processing credit card or other payments, we require those third parties to comply with applicable Payment Card Industry standards.
We may share Aggregated Information with third parties that provide content and services for us. We may also share Aggregated Information with advertisers and others so that they can better understand our audience. For example, we might disclose the gender, age, or geographical breakdown of our user base.
Unless you have consented otherwise, we do not sell, rent, barter, or otherwise give away user lists, users’ names, email addresses, or mailing addresses so that advertisers or other third parties may send you advertisements or other solicitations.
You should know that when you voluntarily disclose personal information publicly on our services (for example, when commenting on articles), that information may be collected and used by others and you may receive unsolicited communications from other people. When you share information via features offered on our services by other companies (sometimes known as “third-party plugins”), the privacy settings for those features govern how the information will be shared. Our services and communications may contain links to or content from websites or other online services provided by third parties. We expect our partners and third-party providers to respect your privacy, but you acknowledge and agree that we are not responsible for the collection and use of your information by websites and other services that are not under our control. The privacy practices of third parties are governed by their privacy policies, and we encourage you to review the privacy policies of all websites and online services that you use, view, or visit.
We and some of our advertisers work with ad networks and ad delivery platforms that place retargeting pixels on users’ computers to gather information about users’ online activities, such as browsing histories and demographic information. This information can be aggregated into audience segments, which help deliver relevant advertising to users visiting our websites and third-party websites that use the same pixels.
Some of our services and communications may contain tiny electronic images known as web beacons. We use web beacons to assist us in delivering cookies on our services and to allow us to count users who have visited those pages. We may include web beacons in promotional email messages in order to determine whether messages have been opened and acted upon.
To help ensure that you receive ads that are relevant to your interests on our services, our advertisers’ services, and elsewhere on the Internet, we and third-parties (including service providers, advertisers, and advertising companies) may collect information about your online activities over time and across different websites and apps. We and third parties may use that information to help understand audience segments. Advertisers may use the segments to determine the audience groups to which they wish to deliver particular ads. Opting out does not mean you will no longer receive advertising. We care about children’s privacy. Our services are not directed to, nor do we knowingly collect information from, children under the age. We will not knowingly allow children under 13 to register for or become members of our services or programs. If we discover that we have received any information from a child under 13, we will take reasonable steps to promptly delete that information. If you believe we have collected information from anyone under 13 without parental consent, please contact us via any of the channels listed below.
In general, if you register to use any of our services, you may update the information you have provided to us for any of our services by visiting the account information page of that service.
When you register for our services, you may be able to indicate your preferences regarding marketing communications. You may be able to change those preferences and select the categories of communications that interest you. You will not be able to opt-out of receiving certain service-related or transactional communications relating to our services unless you cancel your registration or membership.
You can delete accounts associated with our services by visiting the appropriate account information page for that service and clicking on the link “delete my account.” When you do so, we will delete your information from our servers except for a transactional record of your account. Some information may remain on back-up media. Deleting your account cancels your membership and you may no longer be able to access some of our services or some of the features or content offered by our services. While we strive to maintain reasonable administrative, technical, and physical safeguards to protect your information, no information system can be 100% secure. We cannot guarantee the absolute security of your information. Moreover, we cannot be responsible for information that you transmit over networks that we do not control or information that you choose to publicly disclose. We make reasonable efforts to secure the account information pages and other registration locations for our services, such that they can be accessed only by our authorized personnel or by logging in with your member name and password.

Definition of Certain Terms
IP Address- the identifier assigned to facilitate communications over the Internet. Depending on how you connect to the Internet, your IP address may always be the same, or it may change each time you access the Internet. An IP address does not in and of itself disclose your name, email address, or home or work address.
Service Providers- unaffiliated companies that perform services on our behalf, such as printing, mailing, processing payments, managing the delivery of advertisements, collections, data processing, or communications. We strive to limit the amount of users’ personally identifiable information shared with service providers. We ask these service providers to keep confidential the information that we provide to them, and we require them to not share, sell, or rent any information collected from our users that directly identifies our users.
